Terms & Conditions

Last updated: October 19, 2026

These Terms & Conditions apply to all services, proposals, agreements, and business relationships between LeadZippy and its clients.

By accepting a proposal, signing an agreement, authorizing payment, or allowing LeadZippy to begin providing services, the Client agrees to these Terms & Conditions.

1. Definitions

For the purpose of these Terms:

LeadZippy refers to the company providing lead generation, marketing, campaign management, and related services.

Client refers to any business or professional entity purchasing services from LeadZippy.

Services refers to all lead generation, marketing, campaign management, strategy, optimization, consulting, and related services provided by LeadZippy.

Lead refers to an individual or business that has submitted information, expressed interest, or otherwise responded to a marketing campaign.

Advertising Budget refers to money spent on advertising platforms. The Advertising Budget is separate from LeadZippy's service fees.

2. Business-to-Business Services

LeadZippy provides its services primarily to businesses.

By entering into an agreement with LeadZippy, the Client confirms that the Services are being purchased for business or professional purposes.

3. Services

LeadZippy provides lead generation and marketing services designed to help service-based businesses generate new customer opportunities.

Depending on the agreement with the Client, Services may include marketing strategy, campaign setup, advertising management, lead generation, campaign monitoring, optimization, lead forms, lead delivery, reporting, marketing consultation, automation, and integrations with email, calendars, CRM systems, or other software.

The exact scope of Services will be described in the Client's proposal, service agreement, or other written agreement.

LeadZippy has an obligation to perform the agreed Services professionally, but does not have an obligation to achieve a specific result.

4. No Guarantee of Results

LeadZippy does not guarantee any specific marketing, sales, or financial results.

This includes, but is not limited to, guarantees regarding the number of leads, appointments, customers, booked jobs, revenue, profit, return on advertising spend, cost per lead, conversion rates, sales volume, or business growth.

Marketing performance depends on many factors that are partially or completely outside LeadZippy's control.

These factors may include the Client's industry, market conditions, geographic location, competition, demand, pricing, quality of the offer, reputation, seasonality, economic conditions, Advertising Budget, speed of lead follow-up, sales ability, availability, customer reviews, quality of estimates, advertising platform algorithms, and changes made by third-party platforms.

Any estimates, forecasts, projections, examples, or previous results communicated by LeadZippy are provided for informational purposes only and do not constitute a guarantee of future performance.

Lower-than-expected results do not automatically entitle the Client to a refund, credit, compensation, or cancellation of outstanding payment obligations.

5. Leads

A Lead means that a person or business has expressed interest or submitted information.

A Lead is not the same as a paying customer.

LeadZippy cannot guarantee that every Lead will answer the phone, respond to messages, provide accurate information, schedule an appointment, attend an appointment, request a quote, accept a quote, have sufficient budget, or purchase the Client's services.

Occasionally, duplicate, incorrect, unreachable, or unsuitable Leads may be generated.

LeadZippy will make reasonable efforts to improve lead quality, but cannot guarantee the quality or commercial value of every individual Lead.

6. Lead Follow-Up

The Client is responsible for contacting and following up with Leads.

The Client understands that response time, communication quality, pricing, sales ability, availability, and customer service can significantly affect conversion rates.

LeadZippy is not responsible for lost customers, missed opportunities, or lost revenue resulting from slow follow-up, failure to contact Leads, poor communication, missed calls, unavailable staff, sales performance, pricing decisions, rejected estimates, or any other part of the Client's sales process.

7. Advertising Budget

The Advertising Budget is not included in LeadZippy's management or service fee, unless specifically agreed otherwise in writing.

The Client is responsible for funding all advertising spend.

Where possible, advertising costs will be charged directly to the Client by the relevant advertising platform using the Client's payment method.

LeadZippy may recommend an Advertising Budget based on the Client's industry, location, competition, campaign objectives, market size, expected advertising costs, and available performance data.

Any recommended Advertising Budget is an estimate and does not guarantee any specific result.

The Client ultimately determines how much Advertising Budget is made available.

Choosing to spend less than the recommended amount may affect campaign reach, available data, optimization opportunities, and overall results.

8. Service Fees

The Client agrees to pay the fees stated in the proposal, service agreement, or invoice.

Unless otherwise stated, LeadZippy's service fees do not include the Advertising Budget, third-party software fees, external platform fees, taxes, or work outside the agreed scope.

Additional Services requested by the Client may be charged separately.

9. Monthly Payments and Automatic Billing

Unless otherwise agreed in writing, LeadZippy's Services are paid monthly in advance.

Payments are processed through Stripe or another payment provider selected by LeadZippy.

By entering into an agreement with LeadZippy and providing a payment method, the Client authorizes LeadZippy and its payment provider to automatically charge the agreed recurring fees.

The Client is responsible for maintaining a valid payment method, accurate billing information, and sufficient funds for scheduled payments.

Each monthly payment covers the upcoming service period.

Automatic billing will continue for as long as the agreement remains active, subject to the cancellation and termination provisions in the agreement.

10. Failed or Reversed Payments

If an automatic payment fails, is declined, disputed, reversed, or charged back, the Client's payment obligation remains in effect.

LeadZippy may retry the payment, request payment through another method, suspend Services, pause campaigns, restrict access, or stop further work until payment is received.

LeadZippy is not responsible for lost Leads, reduced campaign performance, lost revenue, or other consequences caused by suspension due to non-payment.

The Client may also be responsible for reasonable collection costs, legal fees, interest, or other costs permitted by applicable law.

11. Chargebacks

The Client agrees to contact LeadZippy before initiating a chargeback or payment dispute so that both parties have a reasonable opportunity to resolve the issue.

A disagreement regarding campaign performance or marketing results does not automatically justify a chargeback.

Because LeadZippy does not guarantee specific results, lower-than-expected campaign performance alone does not remove the Client's obligation to pay for Services already provided.

12. Setup Fees

Where a setup fee applies, it covers work performed before or during the initial launch of the Client's campaigns.

This may include research, strategy, account setup, campaign preparation, integrations, forms, tracking, automation, technical configuration, and creative preparation.

Once LeadZippy has begun performing these activities, the setup fee is generally non-refundable, except where required by applicable law.

13. Term and Cancellation

The duration of the Client relationship, any minimum commitment period, renewal terms, and notice period will be specified in the Client's proposal or service agreement.

Cancellation must be submitted in writing.

Pausing advertisements does not automatically terminate the agreement with LeadZippy.

Amounts relating to Services already performed or service periods that have already started remain payable, subject to the terms of the Client's agreement.

14. Client Responsibilities

The Client agrees to provide accurate and timely information required for LeadZippy to perform the Services.

The Client remains responsible for its own products and services, prices, quotes and estimates, licenses and permits, customer service, sales conversations, fulfillment of customer work, warranties, compliance with applicable laws, availability, lead follow-up, and the accuracy of information provided to LeadZippy.

LeadZippy is entitled to rely on information supplied by the Client.

LeadZippy is not responsible for consequences arising from incorrect, misleading, incomplete, or outdated information supplied by the Client.

15. Account Access

The Client may be required to provide LeadZippy with appropriate access to advertising accounts, websites, CRM systems, calendars, software, or other platforms.

The Client confirms that it has the authority to grant such access.

If LeadZippy cannot perform its work because the Client fails to provide the necessary access or information, the Client's payment obligations will continue.

16. Campaign Management

LeadZippy may make reasonable changes to campaigns where necessary to improve or maintain performance.

This may include changes to targeting, audiences, advertisements, copy, lead forms, campaign settings, budget allocation, creative assets, and campaign structure.

LeadZippy is not required to obtain separate approval for every routine optimization unless otherwise agreed in writing.

17. Third-Party Platforms

LeadZippy may use third-party platforms and services to perform its work.

These may include advertising platforms, CRM systems, automation software, payment providers, analytics software, email services, and other technology providers.

LeadZippy does not control these third parties and is therefore not responsible for platform outages, software errors, changes to algorithms, changes to advertising policies, rejected advertisements, account restrictions, account suspensions, changes in advertising costs, technical failures, or service interruptions.

18. Advertising Account Restrictions

Third-party advertising platforms may restrict, suspend, or disable advertising accounts, campaigns, pages, or individual advertisements.

LeadZippy cannot guarantee that an advertisement will be approved or that an advertising account will remain active.

Where reasonably possible, LeadZippy will assist with campaign adjustments or alternative solutions.

A restriction or suspension by a third-party platform does not automatically entitle the Client to a refund.

19. Team Members, Contractors and Subcontractors

LeadZippy may use employees, independent contractors, freelancers, media buyers, specialists, or other third parties to provide all or part of the Services.

The Client authorizes LeadZippy to determine how the Services are internally performed.

LeadZippy remains the Client's primary point of contact unless otherwise agreed.

20. Intellectual Property

LeadZippy retains ownership of its internal strategies, systems, processes, frameworks, templates, methods, know-how, and internal documentation.

Once all outstanding invoices have been paid, the Client may use materials created specifically for its business as reasonably required for its own business operations, unless otherwise agreed.

The Client may not reproduce, resell, distribute, license, or commercially exploit LeadZippy's internal systems, processes, or proprietary materials without written permission.

21. Client Materials

The Client may provide LeadZippy with photographs, logos, videos, text, trademarks, or other materials.

The Client confirms that it has the necessary rights and permissions to use and provide these materials.

The Client is responsible for claims arising from materials supplied by the Client that infringe the rights of another party.

22. Confidentiality

Both LeadZippy and the Client agree to treat confidential business information received during the relationship as confidential.

Confidential information may be shared with LeadZippy team members, contractors, specialists, or service providers where reasonably necessary to perform the Services.

This obligation continues after termination of the agreement.

23. Privacy and Personal Data

LeadZippy processes personal data in accordance with its Privacy Policy and applicable privacy laws.

Where LeadZippy processes Lead data on behalf of the Client, additional data processing terms may apply.

The Client is responsible for ensuring that its own use of Lead data complies with applicable privacy, marketing, telemarketing, and consumer protection laws.

24. Limitation of Liability

To the maximum extent permitted by applicable law, LeadZippy will not be liable for indirect, incidental, special, or consequential damages.

This includes lost profits, lost revenue, lost customers, lost business opportunities, lost data, reputational damage, or business interruption.

Where LeadZippy is legally liable for damages, its total liability will be limited to the amount paid by the Client to LeadZippy for the applicable Services during the three months preceding the event giving rise to the claim, unless applicable law requires otherwise.

25. Indemnification

The Client agrees to indemnify and hold LeadZippy harmless from third-party claims arising from the Client's products or services, Client-provided information, Client-provided marketing materials, unlawful activities by the Client, failure to comply with applicable law, or promises or warranties made by the Client to its customers.

26. Force Majeure

LeadZippy will not be liable for failure or delay caused by circumstances reasonably outside its control.

This may include internet outages, power failures, software outages, third-party platform failures, cyber incidents, illness, natural disasters, government action, war, labor disputes, or telecommunications failures.

27. Suspension or Termination by LeadZippy

LeadZippy may suspend or terminate Services where the Client fails to pay, repeatedly fails to cooperate, provides misleading information, engages in illegal activities, misuses the Services, creates unreasonable legal or reputational risk, or behaves abusively toward LeadZippy team members or contractors.

Outstanding payment obligations remain due where applicable.

28. Complaints

If the Client believes LeadZippy has failed to provide the agreed Services, the Client should notify LeadZippy in writing as soon as reasonably possible.

The Client must provide LeadZippy with a reasonable opportunity to investigate and, where appropriate, correct the issue.

A complaint does not automatically suspend payment obligations.

29. Changes to These Terms

LeadZippy may update these Terms & Conditions from time to time.

The latest version will be published on the LeadZippy website.

Material changes affecting an existing Client relationship may also be communicated directly to the Client.

30. Governing Law

Unless otherwise agreed in writing, agreements with LeadZippy are governed by the laws of the Netherlands.

The parties will first attempt to resolve any dispute through good-faith discussion.

If a dispute cannot be resolved, it may be submitted to the competent court in the Netherlands, to the extent permitted by applicable law.

31. Entire Agreement

The Client's proposal, service agreement, these Terms & Conditions, and any additional written agreements together form the agreement between LeadZippy and the Client.

If a specific provision in a signed service agreement or proposal conflicts with these Terms & Conditions, the specific written agreement will take priority.

If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
